Rules for purchasing
The food business operator is registered with the Šiauliai Department of the State Food and Veterinary Service (VMVT), registration No 290001070.
1. GENERAL PROVISIONS
1.1. www.ruta.lt activity is organized, carried out and related services are provided by Rūta UAB, legal entity code 144696375, registered office address Tilžės g. 133, LT-76349 Šiauliai (in these Terms and Conditions referred to as the ‘Seller’).
1.2. These Terms and Conditions of Sale and Purchase of Goods (hereinafter referred to as the ‘Terms and Conditions’), once they have been approved by the Customer (by reading the Terms and Conditions and by ticking the box next to the statement ‘I have read and agree to the Terms and Conditions’), shall be a binding legal document for the parties, which shall determine the rights and obligations of the Customer and the Seller, the conditions of purchase of the goods and the conditions of payment for the goods, the procedure for delivery and return of the goods, the liability of the parties, and any other provisions relating to the purchase of the goods in the ruta.lt online shop.
1.3. For the purposes of these Terms and Conditions, the person making purchases in the ruta.lt shop or using other services of the ruta.lt shop is deemed to be the Customer (hereinafter referred to as the ‘Customer’).
1.4. The right to make purchases in the www.ruta.lt online shop is granted to natural persons with legal capacity; minors aged between fourteen and eighteen years old, only with the consent of their parents or guardians, except where they are independently disposing of their own income; and legal persons.
1.5. By acknowledging that he/she has read the Terms and Conditions, the Customer also warrants that, in accordance with Clause 1.4 of the Terms and Conditions the Customer has the right to purchase the Goods in the online shop. The Customer shall not be given the opportunity to place an order for goods in the www.ruta.lt shop if he/she has not read and/or does not agree to the Terms and Conditions. In cases where the Customer does not agree with the Terms and Conditions or any part thereof, the Customer should not order goods from www.ruta.lt.
1.6. Together with the Customer’s order, these Terms and Conditions shall become a contract between the Customer and the Seller and shall constitute a binding legal document for both parties. The Contract shall be deemed to have been concluded when the Customer forms and submits an order for goods in the ruta.lt shop, makes payment in accordance with the procedure and within the time limits set out in the Rules and the Seller sends a confirmation to the e-mail address indicated by the Customer that the Customer’s order has been accepted.
1.7. The Seller reserves the right to change, amend or supplement the Terms and Conditions at any time. Registered Customers will be notified of any changes, corrections or additions at the time of logging in to ruta.lt and will be required to re-confirm the Terms and Conditions. The amendment to the Terms and Conditions shall only apply to orders placed after the amendment to the Terms and Conditions. This version of the Terms and Conditions is effective as of 14 April 2020 and supersedes all previous versions of the Terms and Conditions that were applicable to orders placed on the ruta.lt online shop.
2. PROTECTION AND PROCESSING OF PERSONAL DATA
2.1. www.ruta.lt has the right to collect and process the personal data provided by the Customer to www.ruta.lt and, if necessary, to disclose it to third parties where this is necessary for the execution of the order, for the processing of the data or for the planning and analysis of the activities of ruta.lt. www.ruta.lt also has the right to use the Customer’s personal data for the purposes of advertising and the provision of information to the Customer within the scope of the activities of Rūta, UAB. The Customer’s data may only be used for sending information or for other activities of the online shop with the Customer’s consent (by reading the Terms and Conditions and by ticking the box next to the statement ‘I have read and agree to these Terms and Conditions’). The Customer shall have the right to prohibit the collection and processing of his personal data at any time, except where necessary for the fulfilment of the requirements arising from the sales contract or for the execution of the Order. The data of the online shop’s Customers and Visitors is protected against any loss, unauthorised use and alteration. The data storage media are fully protected against access by third parties. 2.2. By registering in the online shop and ordering goods, the Customer undertakes to protect and not to disclose his/her login details to anyone.
3. ENTRY INTO FORCE OF THE SALE AND PURCHASE AGREEMENT
3.1. The contract between the Customer and the Seller shall be deemed to be concluded from the moment the Customer, having selected the product(s) to be purchased and having created a shopping cart, clicks on the ‘Confirm Order’ link.
3.2. www.ruta.lt has no obligation to separately notify the Customer of its agreement to enter into the Contract. www.ruta.lt shall be deemed to confirm an order from the moment it starts to execute it.
3.3. Each contract of sale concluded between the Customer and the Seller shall be registered and stored in the ruta.lt online shop database.
4. RIGHTS AND OBLIGATIONS OF THE CUSTOMER
4.1. The Customer shall have the right to purchase goods in the online shop in accordance with the procedures set out in these Terms and Conditions and in the other information sections of this online shop.
4.2. The Customer undertakes to accept the goods ordered and to pay the agreed price for them.
4.3. If the data provided in the Customer’s registration form changes, the Customer must update it immediately.
4.4. The Customer undertakes not to disclose his/her login data to third parties. If the Customer loses his/her login details, he/she must immediately inform the Seller using the communication methods indicated in the ‘Contact’ section.
4.5. By using the online shop, the Customer agrees to these Terms and Conditions of Sale and Purchase and undertakes to comply with them and not to breach the legislation of the Republic of Lithuania.
5. RIGHTS AND OBLIGATIONS OF THE SELLER
5.1. The Seller undertakes to provide all the conditions for the Customer to properly use the services provided by the online shop.
5.2. If the Customer attempts to undermine the stability and security of the Seller’s online shop or breaches his/her obligations, the Seller has the right to restrict or suspend the Customer’s access to the online shop or, in exceptional cases, to cancel the Customer’s registration, immediately and without notice.
5.3. The Seller undertakes to respect the Customer’s right to privacy with respect to the Customer’s personal information provided in the online shop registration form.
5.4. The Seller undertakes to deliver the goods ordered by the Customer to the address specified by the Customer.
6. PRICES OF GOODS, PAYMENT PROCEDURES AND TERMS
6.1. The prices of the products in the online shop and in the order, form are quoted in euros including value added tax (VAT).
6.2. The minimum basket amount is EUR 15.
6.3. The price of the goods at the time of order confirmation will apply. The prices of goods in the online shop may differ from the prices of goods in the seller’s physical shops.
6.4. The price of the goods may change after the Seller has confirmed the order only in exceptional cases where the price of the goods has changed as a result of a technical error in the information systems, as a result of the correction of obvious errors (due to a mistake), or for any other objective substantial reasons beyond the Seller’s control (supported by evidence of such reasons). If in such case the Customer does not agree to purchase the goods at the new price, the Customer may cancel the order by informing the Seller via ruta.lt within 2 (two) working days via the contact details indicated on the www.ruta.lt e-commerce website. If the Customer’s order is cancelled in accordance with the procedure set out in this clause, the Seller undertakes to reimburse to the Customer all amounts paid in accordance with the cancelled order.
6.5. The Seller may, at its discretion, initiate various promotions in the online shop.
6.6. Prices in the online shop may differ from prices in physical shops.
6.7. The Seller has the right to unilaterally change the terms and conditions of the promotions, including cancellation, without prior notice. Any modification or cancellation of the terms and conditions of the promotions shall be effective only forwards, i.e., from the time of their execution.
6.8. The Customer shall pay for the goods in one of the ways indicated in the online shop. The Customer undertakes to pay for the goods immediately. Only after payment for the goods has been received does the shipment start to be formed and the delivery time starts to run.
7. DELIVERY OF GOODS
7.1. Goods shall be delivered by the Seller or its authorised representative (courier).
7.2. When ordering goods, the Customer undertakes to specify the exact place of delivery.
7.3. The Customer undertakes to accept the goods himself. In the event that he/she is unable to accept the goods himself/herself and the goods have been delivered to the address indicated and on the basis of other data provided by the Customer, the Customer shall not be entitled to make any claim against the Seller in respect of the delivery of the goods to the wrong entity.
7.4. At the time of delivery, the Customer must inspect the condition of the shipment together with the Seller or his authorised representative (courier). Once the Customer has signed the invoice (bill of lading) or other document transferring the shipment, the shipment shall be deemed to have been delivered in good condition. The Customer must check the quantity, quality (external appearance) and completeness of the goods at the time of acceptance. Complaints regarding the quantity, quality (external appearance) and completeness of the goods may be submitted no later than on the day of receipt of the goods in the online shop ruta.lt using the specified means of contact.
7.5. If the Customer notices any damage to the packaging at the time of delivery, the Customer must make a note of the damage on the delivery note provided by the courier, or draw up a separate report concerning such damage. The Customer must do this in the presence of the courier. Failure to do so shall exempt the Seller from liability to the Customer in respect of any damage to the goods in relation to damage to the packaging not specified by the Customer in the courier’s delivery note.
7.6. The Seller undertakes to deliver the Goods to the Customer in accordance with the time limits set out in the descriptions of the Goods, which are preliminary. The time limits shall not apply in cases where the Seller’s warehouse does not have the required goods and the Customer is informed of a shortage of the goods ordered. The Customer agrees that in exceptional circumstances the delivery of the goods may be delayed due to unforeseen circumstances beyond the control of the Seller. In such cases, the Seller shall immediately contact the Customer and agree on the terms of delivery.
7.7. In all cases, the Seller shall be exempt from liability for breaching the time limits for delivery of the goods if the goods are not delivered to the Customer or are not delivered on time due to the fault of the Customer or due to circumstances beyond the control of the Seller.
7.8. Free courier delivery to the address you specify when buying at www.ruta.lt is available if the order amount is at least 30 EUR. Delivery is made via DPD and LP EXPRESS parcel services.
7.9. Delivery charges to parcel terminals and to the address indicated depend on the weight of the parcel.
7.10. We deliver from 2 working days.
7.11. During festive periods and promotions, delivery may be delayed by 5 working days due to the high volume of orders.
7.12. For delivery to Kuršių Nerija, an additional transport fee is charged.
7.13. In the event that the Customer withdraws from the contract of sale on the basis of these Terms and Conditions, the Customer shall be liable for all direct costs of returning the goods to the Seller. The amount of the Seller’s costs shall be deducted from the amount to be refunded to the Customer for the goods.
7.14. Orders placed on weekends and public holidays will be ready the next working day.
8. GUARANTEE OF QUALITY OF GOODS AND SHELF-LIFE
8.1. The characteristics of all goods sold online at www.ruta.lt are generally specified in the description of each product. The manufacturer of the goods is responsible for the information about the characteristics of the goods (their correctness), unless otherwise provided by law.
8.2. All products are covered by the manufacturer’s quality guarantee and shelf-life. The Seller offers a quality guarantee for certain types of goods for a certain period of time, the specific shelf-life and other conditions of which are specified in the descriptions of such goods.
8.3. The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the ruta.lt online store may not correspond to the actual size, shape and colour of the goods due to the characteristics of the display (monitor) used by the Customer or for any other technical reasons, as well as for any reasonably possible inconsistencies in appearance.
8.4. In the event that the Seller does not guarantee the quality of the goods for certain types of goods, the guarantee provided by the relevant legislation shall apply.
8.5. In cases where the law specifies a shelf-life for particular goods, the Seller undertakes to sell such goods to the Customer in such a way as to give the Customer a realistic opportunity to use such goods before the expiry of the shelf-life.
9. RETURN AND EXCHANGE OF GOODS CANCELLATION OF THE ORDER
9.1. The Customer has the right to unilaterally exercise the right of cancellation within 14 (fourteen) calendar days from the date of receipt of the order. You must inform ruta.lt about the order cancellation immediately. The right of cancellation may be exercised in accordance with the provisions of laws and regulations, these online shop rules and other applicable terms and conditions issued by ruta.lt.
9.2. Please note that in accordance with the provisions of the Civil Code of the Republic of Lithuania and the ‘Rules of Retail Trade’ approved by the Government of the Republic of Lithuania by Resolution No.697 of 11 June 2001, the following quality goods shall not be exchanged or refunded:
9.2.1. Goods made according to the specific instructions of the consumer, which are not pre-manufactured and which are made according to the consumer’s personal choice or instruction, or goods which are expressly tailored to the consumer’s personal needs.
9.2.2. Goods with a short shelf life or that are highly perishable.
9.2.3. Packaged goods that have been unpacked after delivery and are unsuitable for return for health or hygiene reasons.
9.3. If the Customer is not satisfied with the quality of the perishable goods delivered, and such goods are considered to be foods and beverages with a short shelf-life, including those products that must be refrigerated in accordance with the manufacturer’s temperature specifications, the Customer must contact the Seller no later than within 72 hours of the delivery of the goods by the means of the contacts specified in the ‘Contacts’ section of the Seller’s online shop. When complaining about faulty goods, the Customer must also provide a photograph of the faulty goods received. If the Customer complains later than the specified time limit and/or fails to provide a photograph of the item, the Seller shall not be obliged to resolve the Customer’s complaint in the Customer’s favour.
9.4. In the event of a return of the wrong goods and/or faulty goods, the Seller undertakes to take back such goods and replace them with similar, appropriate goods. In the event that the Seller does not have similar goods, the Seller shall refund the money paid for the goods to the Customer.
9.5. The returned goods must be in their original packaging, in good condition, undamaged by the Customer, without loss of original appearance (labels not removed or damaged, protective film not removed, etc. (this clause does not apply to the return of faulty goods)), without loss of qualities, and unused and in the same condition as received by the Customer, with a proof of purchase of the goods and a warranty certificate (if issued). In the event that the goods returned by the Customer to the Seller are sent to the Seller using courier services, the goods must be placed in additional (protective) packaging before being sent.
9.6. The Seller has the right not to accept the Customer’s returned goods if the Customer does not comply with the return procedure set out in the Sale and Purchase Regulations.
9.7. Money paid for goods accepted by the Customer but subsequently cancelled shall be refunded to the Customer’s account no later than 14 (fourteen) days from the date of receipt of the Customer’s notice of cancellation of the Contract, unless the Seller and the Customer agree otherwise.
10. RESPONSIBILITIES OF THE BUYER AND SELLER
10.1. The Customer is fully responsible for the accuracy of the personal data provided by the Customer. If the Customer does not provide accurate personal data in the registration form, the Seller shall not be liable for the consequences thereof and shall be entitled to claim direct damages from the Customer.
10.2. The Customer is responsible for the actions taken when using this online shop.
10.3. Once registered, the Customer is responsible for the transmission of his/her login data to third parties. If a third party uses the services provided by the online shop by logging in to the online shop using the Customer’s login details, the Seller shall consider this person as the Customer.
10.4. The Seller shall be exempt from any liability where the loss is due to the Customer’s failure to read these Terms and Conditions, despite the Seller’s recommendations and the Customer’s obligations, when given the opportunity to do so.
10.5. If the Seller’s online shop contains links to the websites of other companies, institutions, organisations or individuals, the Seller is not responsible for the information or activities contained therein and does not maintain, control or represent such companies or individuals.
10.6. In the event of damage, the Party at fault shall indemnify the other Party for direct damages.
11. EXCHANGE OF INFORMATION
11.1. The Seller shall send and otherwise contact the Customer at the email address or telephone number provided by the Customer in the registration form.
11.2. The Customer shall send all notifications and questions using the contact information provided in the ‘Contacts’ section of the Seller’s online shop.
11.3. The Seller shall not be liable if the Customer does not receive the information or confirmation messages sent due to disruptions in the internet connection, email services or supplier networks.
12. FINAL PROVISIONS AND DISPUTE SETTLEMENT PROCEDURE
12.1. These Terms and Conditions of Sale and Purchase of Goods are drawn up in accordance with the laws and regulations of the Republic of Lithuania.
12.2. Any disagreements arising out of the application of these Terms and Conditions shall be settled by negotiation. In case of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
